Square Peg Associates Terms and Conditions of Business 

 

1. Terms and Conditions 

1.1. This agreement contains the terms and conditions of business on which it is agreed that Square Peg Associates Limited (Company No: 08054525) (the “Agency”) shall provide permanent recruitment services to the Client. 

1.2. These terms and conditions and the contracts formed herein are final and can only be altered with written consent of a Director of the Agency and contains the entire understanding between the parties (Client and Agency). 

1.3. These Terms and Conditions supercede all previous agreements and arrangements (if any) between the parties (which shall be deemed to have been terminated by mutual consent). 

2. Contract 

2.1. These terms constitute the agreement between the Agency and the Client and are deemed to be accepted by the Client for an Introduction to, or the Placement of a Candidate, or the passing of any information about the Candidate to any third party following an Introduction. 

2.2. Any written or verbal quotation defined in the “Confirmation of Terms and Conditions of Business Letter” which have been accepted by the Client, or any written or verbal request from the Client for services which is accepted by the Agency, will be subject to these terms and conditions and will form the basis of the contract between the Client and the Agency. 

3. Suitability and References 

3.1. The Agency endeavours to ensure the suitability of the Candidate through an agreed Job Description and Person Specification prior to engaging with suitable Candidates. Amendments to either document during an assignment may incur an additional fee. 

3.2. The Agency will check the appropriate documentation to obtaining confirmation of the Candidate’s identity; that the Candidate has the experience, training, qualifications and any authorisation which the Agency considers necessary or which may be required by law or by any professional body; and that the Candidate is willing to work in the position which the Client seeks to fill. 

3.3. The Client is responsible for ensuring that the Candidate satisfies the medical requirements for the role to which they are employed. 

4. Acceptance 

4.1. By accepting these terms and conditions the Client authorises The Agency to advertise, through its preferred media, the role or roles for which the Client requires Candidate introductions. 

4.2. On accepting these terms and conditions the Client is expected to consider suitable Candidates for interview or employment. The Client is bound to these conditions if a subsidiary; franchise, Agency, license or partner of the Client interviews or employs the Candidate. 

4.3. If the Candidate is introduced by the Client and employed by another company, the Client will be liable for the full fee as laid out in Confirmation of Terms and Conditions of Business document. 

5. Fees Payable and Payment Terms 

5.1. The Client agrees to notify the Agency verbally, within 24 hours of selecting the successful Candidate. The Client agrees to notify the Agency in writing of the terms of the Candidate’s engagement including annual gross remuneration and any other benefits, once an offer of a position has been made to the Candidate. 

5.2. The fee payable to the Agency will be based upon the scale of fees listed herein and will be payable within fourteen (14) days of the date of the invoice sent by the Agency. Value Added Tax will be charged at the standard rate of UK VAT at the time of engagement of the Candidate.
